What is a purchase agreement?
A purchase agreement is the contract in which a seller agrees to sell and a buyer agrees to buy something at a set price on set terms. It is more detailed than a receipt: it covers the deposit, closing date, conditions that must be met, warranties, and what happens if either side backs out.
How to use the generator
- Choose what is being purchased: goods, a vehicle, equipment, business assets or real property.
- Fill in the seller and buyer details and describe the item as precisely as you can.
- Enter the purchase price, any deposit, the agreement date and the closing or delivery date.
- Add contingencies, one per line — for example an inspection period or buyer financing.
- Pick the governing law and the warranty level, then copy or download the contract and have both parties sign.
The agreement is assembled in your browser, so the names, prices and terms you type are never sent anywhere.
What the contract includes
- Parties, subject of sale and total price, with the deposit and remaining balance worked out for you
- Closing and delivery terms (a deed requirement is added for real property)
- Optional lettered contingencies with deposit refund if they fail
- Warranty clause: title only, as-is, or title plus conformity to description
- Download as plain text or a ready-to-print PDF
- Default, entire-agreement, assignment and governing-law clauses
FAQ
Is this legally binding? Once both parties sign, a purchase agreement is generally enforceable. This is a general template, not legal advice — have an attorney review high-value deals and any real property sale.
What is the deposit for? It shows the buyer is serious. Under the default clause the seller keeps it if the buyer fails to close; the buyer gets it back if a contingency fails or the seller cannot deliver.
Can I use it for a vehicle sale? Yes. For a simple private car sale, pair it with a bill of sale and the signed title.
